Agreement to Terms

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and ManTime (“ManTime,” “we,” “us,” or “our”) concerning your access to and use of https://mantime.men, as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”). The Site provides ministry resources, including video teaching series, companion workbooks, and a membership platform for individuals and groups (“Group Leaders” and “Participants”) working through that content together. You agree that by accessing the Site, you have read, understood, and agree to be bound by all of these Terms of Use. If you do not agree with these Terms of Use, you are expressly prohibited from using the Site and must discontinue use immediately.

Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Use at any time and for any reason. We will alert you to changes by updating the “Effective date” above, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms of Use. Continued use of the Site after any revised Terms of Use are posted constitutes acceptance of those changes.

The information provided on the Site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. The Site is intended for use within the United States; those who access the Site from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent applicable.

All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, a parent or guardian to use the Site. If you are a minor, your parent or guardian must read and agree to these Terms of Use before you use the Site. Intellectual Property Rights

Unless otherwise indicated, the Site is our proprietary property, and all source code, databases, functionality, software, website design, video series content, workbooks, audio, text, photographs, and graphics on the Site (collectively, the “Content”), and the trademarks, service marks, and logos contained therein (the “Marks”), are owned or controlled by us or licensed to us, and are protected by copyright, trademark, and other intellectual property and unfair competition laws of the United States and applicable international conventions. The Content and Marks are provided on the Site “AS IS” for your information and personal use only. Except as expressly provided in these Terms of Use, no part of the Site and no Content or Marks may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our express prior written permission.

Provided you are eligible to use the Site, you are granted a limited, non-exclusive license to access and use the Site, including streaming video series content and downloading or printing workbook materials to which you have properly gained access, solely for your personal, noncommercial use as part of your or your group’s participation in the program. This license does not permit redistribution, resale, public screening, or sharing of your login credentials or purchased content with anyone outside your registered group. We reserve all rights not expressly granted to you.

User Representations

By using the Site, you represent and warrant that: (1) all registration information you submit is true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update it as necessary; (3) you have the legal capacity and agree to comply with these Terms of Use; (4) you are not a minor in the jurisdiction in which you reside, or if a minor, you have received parental permission to use the Site; (5) you will not access the Site through automated or nonhuman means, whether through a bot, script, or otherwise; (6) you will not use the Site for any illegal or unauthorized purpose; and (7) your use of the Site will not violate any applicable law or regulation.

If you provide information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any current or future use of the Site.

User Registration and Group Accounts

You may be asked to register with the Site to access purchased content. You agree to keep your password confidential and are responsible for all activity under your account and password. We reserve the right to remove, reclaim, or change a username we determine, in our sole discretion, to be inappropriate or objectionable.

Group Leaders

An individual who purchases a video series package (“Group Leader”) may invite other individuals (“Participants”) to join their group via a unique registration link. Group Leaders are responsible for the conduct of the group they create, including ensuring their Participants use the Site consistent with these Terms of Use and for the appropriate use of any Participant information visible to them through group management features.

Participants

A Participant registers for their own free sub-account directly, by following the Group Leader’s invitation link and entering their own information and agreeing to these Terms of Use and our Privacy Policy in their own right. A Participant’s access to homework and group materials is tied to their Group Leader’s active membership and may be limited or revoked if that membership lapses.

Product and Program Descriptions

We make every effort to accurately describe the video series, workbooks, and membership packages available on the Site. However, we do not guarantee that descriptions, pricing, or availability are accurate, complete, current, or free of error. All products and packages are subject to availability. We reserve the right to limit quantities, discontinue any product or package, or change pricing or descriptions at any time without notice, at our sole discretion. We do not warrant that the content or materials will meet your expectations.

Purchases and Payment

Purchases made through the Site are processed via Braintree, a service of PayPal, Inc. You agree to provide current, complete, and accurate purchase and account information, and to promptly update your payment information as needed so that we can complete transactions and contact you. Sales tax will be added where required. All payments are in US dollars. By placing an order, you authorize us to charge your chosen payment method for the amount due, including any applicable shipping fees for workbooks.

We reserve the right to correct pricing or ordering errors, even after payment has been requested or received, and to refuse, limit, or cancel any order at our sole discretion, including orders that appear to be placed by resellers or distributors, or that use duplicate accounts, payment methods, or shipping addresses.

Return Policy

Prohibited Activities

You may not access or use the Site for any purpose other than that for which we make it available. As a user of the Site, you agree not to:

  • Systematically retrieve data or content from the Site to build a collection, compilation, database, or directory without our written permission
  • Collect usernames or email addresses of other users by any means for the purpose of sending unsolicited communications, or create accounts by automated means or under false pretenses
  • Use a buying or purchasing agent to make purchases on the Site
  • Circumvent, disable, or interfere with security-related features of the Site
  • Engage in unauthorized framing of or linking to the Site
  • Attempt to trick, defraud, or mislead us or other users, including in an attempt to obtain sensitive account information
  • Engage in automated use of the Site, including scripts, bots, scrapers, or data-mining tools
  • Interfere with, disrupt, or place an undue burden on the Site or its networks
  • Impersonate another user, share your login with someone outside your registered group, or sell or transfer your account or group access
  • Decompile, disassemble, or reverse engineer any software comprising the Site
  • Upload or transmit viruses, malware, or other harmful code
  • Harass, abuse, or threaten any other user, Group Leader, Participant, coach, or our staff
  • Use the Site in a manner inconsistent with any applicable law or regulation

User-Generated Contributions

The Site may allow you to submit comments, homework responses, testimonials, or similar content in connection with your participation in a video series (collectively, “Contributions”). Contributions may be visible to your Group Leader, other members of your group, coaches, or, where you separately consent (for example, a testimonial featured elsewhere on the Site), the public. Any Contributions you submit are treated as related to your program participation and are not intended as public forum posts unless clearly identified as such (for example, a testimonial you agree to have published).

By submitting a Contribution, you represent and warrant that: (1) it does not infringe the intellectual property, privacy, or other rights of any third party; (2) you own it or have the necessary rights and permissions to submit it and to allow us to use it as described here; (3) it is not false, misleading, unlawful, obscene, harassing, or otherwise objectionable; and (4) it does not violate any applicable law or the rights of any third party. We reserve the right to remove, edit, or decline to display any Contribution at our discretion.

Contribution License

For Contributions you submit specifically for public use on the Site (such as a testimonial you agree to have published), you grant us a nonexclusive, worldwide, royalty-free, fully paid license to host, reproduce, publish, and display that Contribution on the Site and in related marketing materials, for as long as reasonably necessary for that purpose, and you may request its removal by contacting us. This license does not extend to homework responses, group discussion content, or other Contributions submitted solely within the private group/coaching context of the program, which we use only to operate and support your group’s participation in the Service. You retain ownership of your Contributions.

Guidelines for Testimonials and Reviews

If the Site allows you to leave a testimonial or review, you agree that it: (1) reflects your firsthand experience with the program; (2) does not contain profanity or abusive, discriminatory, or hateful language; (3) does not reference illegal activity; (4) is not false or misleading; and (5) is not part of an organized campaign to post positive or negative reviews. We may accept, decline, edit for length or clarity, or remove any testimonial or review at our discretion, and testimonials do not necessarily reflect the views of ManTime.

Site Management

We reserve the right, but not the obligation, to: (1) monitor the Site for violations of these Terms of Use; (2) take appropriate legal action against anyone who violates the law or these Terms of Use; (3) restrict, limit, or disable access to any Contribution; (4) remove content that is excessive in size or burdensome to our systems; and (5) otherwise manage the Site to protect our rights and property and facilitate its proper functioning.

Privacy Policy

We care about data privacy and security. Please review our Privacy Policy, which is incorporated into these Terms of Use by reference. The Site is hosted in the United States and intended for use within the United States.

Copyright Infringements

We respect the intellectual property rights of others. If you believe material on the Site infringes a copyright you own or control, please notify us using the contact information below. You may be held liable for damages if you make material misrepresentations in such a notification; if you are unsure whether material infringes your copyright, consider contacting an attorney first.

Term and Termination

These Terms of Use remain in effect while you use the Site. We reserve the right, in our sole discretion and without notice or liability, to deny access to and use of the Site to any person for any reason, including breach of these Terms of Use, and to terminate or suspend your account and delete associated content at any time. If your account is terminated or suspended, you are prohibited from registering a new account under your name, a fake or borrowed name, or on behalf of a third party.

Modifications and Interruptions

We reserve the right to change, modify, or remove Site content, or to modify or discontinue any product, package, or membership feature, at any time and for any reason without notice, and we have no obligation to update outdated information. We cannot guarantee the Site or any product or service will be available at all times, and we are not liable for any loss or inconvenience caused by downtime, maintenance, or discontinuance of the Site.

Governing Law

These Terms of Use and your use of the Site are governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, applicable to agreements made and to be entirely performed within the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.

Dispute Resolution

Binding Arbitration

If the parties are unable to resolve a dispute through informal negotiations, the dispute (except those expressly excluded below) will be finally and exclusively resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (“AAA”) and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes, both available at www.adr.org. You understand that, absent this provision, you would have the right to sue in court and have a jury trial. Arbitration fees and arbitrator compensation are governed by the applicable AAA Consumer Rules. Arbitration may be conducted in person, by submission of documents, by phone, or online. The arbitrator’s decision will be in writing and must follow applicable law; an award may be challenged if the arbitrator fails to do so. Except where otherwise required by applicable AAA rules or law, arbitration will take place in Lebanon County, Pennsylvania. The parties may litigate in court solely to compel arbitration, stay proceedings pending arbitration, or confirm, modify, vacate, or enter judgment on an arbitration award.

If for any reason a dispute proceeds in court rather than arbitration, it will be brought in the state or federal courts located in Lebanon County, Pennsylvania, and the parties consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to, venue and jurisdiction in those courts. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Terms of Use.

If this arbitration provision is found illegal or unenforceable, the affected dispute will instead be decided by a court of competent jurisdiction within the courts listed above, and the parties agree to submit to that court’s personal jurisdiction.

Restrictions

Any arbitration is limited to the dispute between the parties individually. To the fullest extent permitted by law: (a) no arbitration will be joined with any other proceeding; (b) there is no right to arbitrate any dispute on a class-action basis or to use class-action procedures; and (c) there is no right to bring any dispute in a representative capacity on behalf of the general public or any other persons.

Exceptions to Arbitration

The following disputes are not subject to the binding arbitration provisions above: (a) disputes seeking to enforce or protect, or concerning the validity of, either party’s intellectual property rights; (b) disputes related to allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. If this provision is found illegal or unenforceable, the affected dispute will be decided by a court of competent jurisdiction within the courts listed above, and the parties agree to submit to that court’s personal jurisdiction.

Corrections

The Site may contain typographical errors, inaccuracies, or omissions relating to programs, pricing, availability, or other information. We reserve the right to correct any such errors and to update Site information at any time without prior notice.

Disclaimer

The Site is provided on an “as-is” and “as-available” basis. Your use of the Site and our products and services is at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Site, including implied warranties of merchantability, fitness for a particular purpose, and noninfringement. We make no warranty as to the accuracy or completeness of the Site’s content and are not liable for: (1) errors or inaccuracies in content; (2) personal injury or property damage resulting from your access to or use of the Site; (3) unauthorized access to or use of our servers or any personal or financial information stored there; (4) any interruption or cessation of transmission to or from the Site; (5) bugs, viruses, or similar transmitted through the Site by any third party; or (6) errors or omissions in any content, or loss or damage incurred as a result of using content posted, transmitted, or made available via the Site.

We do not warrant, endorse, or assume responsibility for any product or service advertised or offered by a third party through the Site or any hyperlinked website, and we are not a party to and are not responsible for monitoring any transaction between you and third-party providers.

Limitations of Liability

In no event will we, our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, or loss of data, arising from your use of the Site, even if we have been advised of the possibility of such damages.

Indemnification

You agree to defend, indemnify, and hold us harmless, including our officers, agents, partners, and employees, from any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees, made by any third party arising out of: (1) your Contributions; (2) your use of the products or services; (3) your breach of these Terms of Use; (4) your breach of the representations and warranties set forth here; (5) your violation of the rights of a third party; or (6) any harmful act toward another user with whom you connected through the Site. We reserve the right, at your expense, to assume exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with that defense.

Electronic Communications, Transactions, and Signatures

Visiting the Site, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communication be in writing. You agree to the use of electronic signatures, contracts, orders, and records, and waive any rights or requirements under any law requiring an original signature or delivery or retention of non-electronic records.

California Users and Residents

Miscellaneous

These Terms of Use, together with our Privacy Policy and any other policies or operating rules posted by us on the Site, constitute the entire agreement between you and us. Our failure to exercise or enforce any right or provision of these Terms of Use will not operate as a waiver of that right or provision. These Terms of Use operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We are not responsible for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision of these Terms of Use is found unlawful, void, or unenforceable, that provision is deemed severable and does not affect the validity of the remaining provisions.
